Terms of Service

These Terms of Service ("Terms") govern access to and use of the Gemba Labs platform (the "Service"), provided by Gemba Labs LLC ("Gemba Labs," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the facility or company you represent.

Gemba Labs provides sensor-based monitoring of manufacturing equipment, a real-time floor kiosk, and AI-generated intelligence reports covering downtime, SKU performance, and shift results, for the facility or facilities that have engaged Gemba Labs.

Facility administrators are responsible for the accuracy of information used to create user accounts and for the conduct of users under their facility. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly at hello@gembalabs.io if you suspect unauthorized use of your account.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulation.
• Attempt to gain unauthorized access to another facility's data or accounts.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, resell, or sublicense the Service without our written consent.

As between Gemba Labs and a customer facility, the customer owns its production and manufacturing data. Gemba Labs is granted a limited right to process that data solely to provide the Service. Upon termination of a facility's agreement with Gemba Labs, the facility may request export of its data as described in our Privacy Policy.

The Service is provided "as is" and "as available." We do not guarantee that the Service will be uninterrupted, error-free, or available at all times. Scheduled maintenance, sensor connectivity issues, or third-party provider outages may affect availability.

To the maximum extent permitted by law, Gemba Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or production time, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total liability for any claim arising out of these Terms or the Service will not exceed the amount paid by the applicable customer to Gemba Labs in the twelve months preceding the claim.

Either party may terminate the Service relationship under the terms of the applicable customer agreement. We may suspend or terminate access if these Terms are violated or if continued access poses a security risk to the Service or other customers.

These Terms are governed by the laws of the State of Michigan, without regard to its conflict of laws principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Michigan.

We may update these Terms from time to time. We will post the updated version on this page with a new effective date. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
